Widget Terms of Service

These Widget Terms of Service (the "Widget Terms") govern your installation and use of the SmartAlex embeddable widget (the "Widget") on any website or property you own or control (your "Site"). They are in addition to the SmartAlex Terms of Service and Privacy Policy, and the accompanying Data Processing Addendum ("DPA") is incorporated by reference. By enabling the Widget you accept these Widget Terms and the DPA, and you confirm the region and audience declarations below.

1. What the Widget is and does

Depending on the features you enable, the Widget can connect a visitor to a live AI voice conversation, hold a text chat, capture leads (for example name, email, phone, and message) into your SmartAlex workspace, and, where you enable it and consent permits, contribute conversion signals to your own advertising accounts.

2. Roles of the parties

For personal data collected through the Widget, you are the Controller and SmartAlex is your Processor. You decide what to collect, why, and on what lawful basis. We process that data on your documented instructions as set out in the DPA. You are responsible for your own compliance obligations, including notice and consent.

3. Installation and your declarations

Before a Widget can go live, you must, in your dashboard: accept these Widget Terms and the DPA; declare your audience region (United States, European Union, United Kingdom, or Other), which sets the default consent behaviour the Widget applies; declare whether your Site is directed to children or collects or infers health or wellness information; and review the linked legal documents. We keep an immutable record of your acceptance, including who accepted, when, the exact document versions shown, and your declarations. If your declarations change, you must update them.

4. Your responsibilities as the site operator

Because you are the Controller: you must have a lawful basis and give visitors clear notice at or before collection, and maintain an accurate privacy notice on your Site. Where the law requires consent before storing information on a device or before advertising or analytics signals are collected or shared, you must obtain it; the Widget reads a recognised consent signal and defaults to the most privacy-protective behaviour when none is present. Voice conversations may be recorded and are AI-assisted: you must inform visitors and obtain any consent your jurisdiction requires before recording begins. Some jurisdictions require the consent of every party. Examples of all-party-consent states in the United States include California, Florida, Illinois, Maryland, Massachusetts, Montana, Nevada, New Hampshire, Pennsylvania, and Washington. You must honour visitor opt-outs and recognised preference signals, including the Global Privacy Control, where applicable law gives them effect, and you must not suppress or override them.

5. Sensitive audiences

You must not use the Widget's advertising pixel on any part of your Site directed to children, or that collects or infers health, wellness, or other sensitive information, unless you have declared this and met any additional legal requirements (for example the Children's Online Privacy Protection Act or the Washington My Health My Data Act). Where you declare a sensitive audience, the advertising pixel is blocked for that Widget.

6. Data and privacy

Our processing of personal data collected through the Widget is governed by the DPA, which includes our commitment not to use your visitors' data to train or improve our models, our security measures, our use of sub-processors, and how we assist you with data subject requests. Our current sub-processors are listed in the SmartAlex Sub-processor List.

7. Analytics and the advertising pixel

Where you enable it, the Widget can measure interactions and contribute conversion signals to your own advertising accounts, using credentials you provide, so you can measure your own campaigns. Signals are attributed to your accounts; SmartAlex does not build a cross-site profile of visitors across different customers and does not sell visitor data. Where personal identifiers are used to match conversions, they are hashed before they leave the server and forwarded only where consent and applicable law permit. The pixel is consent-gated in the browser and on the server: when consent is absent or withdrawn, or a recognised opt-out is present, it does not fire.

8. Acceptable use

Your use of the Widget is subject to the SmartAlex Acceptable Use Policy. You must not reverse engineer, resell, or circumvent the Widget's controls, or use it to send unlawful or abusive content.

9. Fees

Use of the Widget is subject to the fees and billing terms of your SmartAlex plan. Usage may consume plan allowances or wallet balance as described in your plan.

10. Warranties and disclaimers

The Widget is provided on an "as is" and "as available" basis. To the fullest extent permitted by law we disclaim all implied warranties. We do not warrant that the Widget will be uninterrupted or error free. AI responses may be inaccurate and should not be relied on as professional advice.

11. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Each party's aggregate liability is limited as set out in the SmartAlex Terms of Service. Nothing here limits liability that cannot be limited by law.

12. Indemnity

You will defend, indemnify, and hold harmless SmartAlex and its affiliates from any third-party claim, and any resulting loss, arising out of or relating to your breach of your Controller responsibilities (including any failure to provide required notice or obtain required consent), your configuration or use of the Widget in violation of law, your advertising or targeting activities, or the content and operation of your Site.

13. Term and termination

You may disable the Widget at any time from your dashboard, which stops it operating on your Site. We may suspend or disable a Widget that violates these Widget Terms, the Acceptable Use Policy, or applicable law, or that presents a security or abuse risk. Provisions that by their nature should survive termination do so.

14. Changes

We may update these Widget Terms to reflect changes to the Widget or the law. For a material change we will provide notice and, where required, ask you to re-accept before the Widget continues to operate.

15. Governing law and contact

These Widget Terms are governed by the laws of the Republic of Singapore, except where mandatory local law provides otherwise. Questions can be sent to privacy@getsmartalex.com.
